our Expertise

Our full suite of advisory services encompass the typical lifecycle for infrastructure projects and companies, including:

Developing infrastructure can be complex, requiring a broad skill-set and in-depth market knowledge.

Our team is well versed in leveraging its sector experience to support developers and project sponsors to commercialise their projects, from appraisal stage through to structuring key contracts with a view to attracting appropriate debt and equity capital. Examples of development support include:

Project feasibility modelling
Commercial advice on key project contracts (e.g. EPC, O&M, feedstock, offtake)
Marketing Ready-to-Build projects
Debt/equity market soundings and securing initial term sheets

Choosing the right delivery structure is essential in getting a project off the ground, but also in ensuring its long-term success.

Our team of advisers has extensive experience supporting public sector clients on the procurement of essential infrastructure, from PPP models (encompassing PFI and newer variants such as MIM and DPC), to joint venture arrangements. We also support private sector clients bidding for such contracts. Experience working on ‘both sides of the table’ provides added value to both public and private sector clients. Some examples of procurement support we provide are:

Evaluation of procurement options and strategy
Managing bid process financial workstream and strategy advice
Development and running of bid financial model
Soft market testing to gauge debt and equity market appetite
Contractual negotiation (e.g. shareholder and joint venture agreements, project agreements)

We also assist local authorities in appraising major projects and associated variations in accordance with Green Book guidance, advise on PPP refinancings, and can support with PFI expiry considerations

Infrastructure finance continues to evolve, with a more diverse range of investors now involved in the sector than ever before.

Our advisory team has structured over £8bn financing, with the majority being long-dated limited-recourse senior debt, for both greenfield developments and subsequent refinancings. Our independence from any individual lender ensures a pure focus when sourcing the most competitive financing package. We have experience arranging:

Commercial bank debt
Capital market solutions (e.g. rated / unrated private placements and listed bonds)
Finance lease / income strip solutions
Development finance
Subordinated loan notes / Mezzanine debt

Alongside sourcing and structuring the optimum debt package for projects, we also support developers, strategics and infrastructure funds and institutions seeking to raise, acquire or dispose of equity interests in single projects or portfolios – utilising our extensive relationships across the sector.

The infrastructure sector continues to experience robust M&A activity, driven by strong economic headwinds and the arrival of an increasing number of institutional participants.

We advise on a range of corporate finance transactions, supporting buy and sell-side mandates, equity and debt raising. Our complementary background in project finance ensures we are well placed to understand the underlying economics of infrastructure businesses, leveraging this to enhance value for our clients. We have specific expertise in:

Supporting contracting businesses providing DBO (design, build, operate) services in securing investment and transition into ‘own and operate’ platforms
Supporting investors seeking to invest in and/or establish such platforms
Implementing Assetco / DevCo structures with suitable alignment of incentives

Infrastructure projects can be complex with many stakeholders and an intricate allocation of risk. As such conflicts can arise, requiring specialist commercial advice to ensure efficient resolution and protection of interests.

Our broad range of infrastructure finance experience coupled with our rigorous approach means we are often trusted to assist in resolving complex contractual disputes between parties. This role requires strong commercial acumen, attention to detail and an aptitude for lateral thought. Some examples of our work in this area include:

Acting as financial expert witness on an arbitration process for a major European transport PPP
Supporting the private sector through a dispute resolution process on a UK waste PPP
Supporting the public sector to resolve a payment mechanism dispute on a UK waste PPP
